1. APPLICABILITY OF THE TERMS AND CONDITIONS, SUBJECT MATTER OF THE PURCHASE, AND CONCLUSION OF THE CONTRACT

1.1 The General Terms and Conditions (hereinafter “GTC”) of Keramikmanufaktur Cornelia Hofstetter (hereinafter “Cornelia Hofstetter”) constitute an integral part of all sales contracts between Cornelia Hofstetter and its end customers (hereinafter “Customers”). The T&C apply regardless of whether the sales contract was concluded verbally, by email, telephone, fax, written correspondence, or via the online store.

1.2 The subject matter of these sales contracts is merchandise offered for sale by Cornelia Hofstetter, which is purchased by the Customer for personal use. The products are manufactured for both the Swiss and international markets. 

1.3 Upon the Customer’s confirmation by clicking the “Place Order” button, the Customer’s order becomes binding and thereby constitutes an offer to Cornelia Hofstetter to conclude a sales contract. The sales contract is not validly concluded until Cornelia Hofstetter confirms the customer’s order. Cornelia Hofstetter is under no obligation to accept an order. 2. PRICES AND SHIPPING COSTS

2.1 Purchase prices are published in the online store at www.corneliahofstetter.ch or can be found on the price tag of the respective product in the retail store.

2.2 For orders placed via email, telephone, or verbal agreement, the purchase prices for customers residing in Switzerland are in Swiss francs (CHF) and include Swiss value-added tax (VAT). Any advance recycling fees (vRG) and processing fees are included in the purchase price. For customers residing outside Switzerland, purchase prices are quoted in Swiss francs (CHF), euros (EUR), or other currencies, excluding the applicable value-added tax.

2.3 For orders placed in the online store, the purchase prices in Swiss francs (CHF), including Swiss value-added tax, apply to all customers.

2.4 Any customs duties, shipping costs, and value-added taxes incurred in the recipient’s country due to cross-border delivery are not included in the purchase price and must be paid by the customer. Shipping costs are published on www.corneliahofstetter.ch or are displayed in the online store before the purchase is completed.

2.5 Cornelia Hofstetter reserves the right to change the purchase prices of its products at any time.

 

3. PAYMENTS

3.1 The purchase price, including shipping costs and any applicable fees (pre-collection fee, etc.), must be paid net within ten (10) days of the invoice date, but no later than the time the shipment is handed over to the carrier. Cornelia Hofstetter is entitled to require a payment on account for custom-made items.

3.2 If the customer fails to meet the payment deadline, the customer shall be in default without a reminder and shall owe default interest of 5% per annum on the purchase price. Starting with the second reminder, an additional processing fee of CHF 20.00 per reminder will be charged. If the customer fails to pay after the third reminder, Cornelia Hofstetter reserves the right to initiate debt collection proceedings against the defaulting customer.

3.3 Purchases made in the online store must either be paid immediately at the time the customer places a binding order via credit card, or, if the “on account” option was selected, the invoice must be paid no later than ten (10) days from the invoice date.

 

4. DELIVERY TERMS AND TRANSFER OF RISK

4.1 Delivery will be made upon receipt of the purchase price, including shipping costs and any other applicable charges (pre-collection fee, etc.). Partial deliveries will be made only upon prior agreement with the customer.

4.2 Delivery times for items in stock are generally 2–6 business days from receipt of payment. Delivery times for products made to order will be communicated to the customer by Cornelia Hofstetter upon order confirmation.

4.3 The delivery times mentioned above are approximate. If, in exceptional cases, a delivery cannot be made within the specified delivery time or the delivery time agreed upon in the purchase contract, Cornelia Hofstetter will inform the customer no later than the expiration of the delivery period. In the event of delivery delays, the customer is entitled, after setting a reasonable grace period and upon its unsuccessful expiration, to waive the delivery and withdraw from the purchase contract. The customer has no right to compensation for damages due to delayed or failed delivery. In this case, Cornelia Hofstetter will refund any purchase price already paid to the customer.

4.4 The customer must make prior arrangements to pick up the ordered products at the ceramics manufacturer’s premises. If the pickup does not take place as agreed, Cornelia Hofstetter is entitled to rescind the purchase contract. The customer is liable for any direct and indirect damages.

4.5 Delivery is made to the address specified by the customer in the order (curbside). The carrier within Switzerland is generally Swiss Post; for international shipments, it is UPS. However, Cornelia Hofstetter is free to engage another carrier to transport the shipment. For cross-border shipments, Incoterm DAP (2010) applies, specifically Incoterm 20 DAP as defined by Swiss Post GLS. Cornelia Hofstetter is not liable for damage incurred during transport.

4.6 Upon handover of the ordered products to the carrier or upon making the products available for pickup, the benefits and risks associated with the goods are transferred to the customer.

 

5. RETURNS AND EXCHANGES

5.1 The customer may withdraw from the purchase agreement within 14 days without providing a reason. The period for exercising these rights to return or exchange begins on the day the product arrives at the recipient’s address or upon receipt of the written cancellation policy, which Cornelia Hofstetter provides to the customer in the online store along with the order confirmation.

5.2 In all other respects, Cornelia Hofstetter refers to her separate cancellation policy.

5.2 In the event of a return or an exchange for a corresponding item in a different version, the customer must notify Cornelia Hofstetter immediately. The customer is responsible for the costs of the return shipment. If additional taxes and customs duties are incurred as a result of the return, these must also be borne by the buyer. Any purchase price payments already made will be refunded, provided the products arrive at Cornelia Hofstetter in their original packaging, unused, and undamaged. If the return or exchange of the products is not carried out in accordance with the terms, Cornelia Hofstetter reserves the right to reduce the refund accordingly. Furthermore, Cornelia Hofstetter reserves the right to claim a flat-rate compensation of 5% of the purchase price for the expenses incurred. Returns are always made at the customer’s own risk and expense.

 

5.3 Furniture and other custom-made items are excluded from returns and exchanges, as they were specially manufactured for the customer.

5.4 Items purchased on sale, as part of a promotion, or at a discount in the online store are also excluded from returns and exchanges.


6. WARRANTY, NOTIFICATION OF DEFECTS, GUARANTEE, AND LIABILITY

6.1 The customer must inspect the delivered goods immediately upon receipt. If products are delivered with obvious damage to the packaging or contents, the customer must immediately file a complaint with the carrier and refuse acceptance. Any other defects must be reported in writing to Cornelia Hofstetter immediately, but no later than within five (5) business days (notice of defect). Defects that become apparent later—i.e., during the warranty period—must be reported immediately upon discovery.

6.2 Circumstances for which Cornelia Hofstetter is not responsible, such as normal wear and tear, force majeure, improper handling or operation, interference by the customer or third parties, excessive strain, unsuitable operating materials, extreme environmental conditions, and the like, do not constitute a defect.

6.3 Cornelia Hofstetter works with and sells products made from natural materials, such as wood, stone, leather, textiles, etc. Variations in texture and color compared to the sample or image on the Internet or in printed materials, as well as those resulting from the use of the product, are unavoidable and therefore do not constitute defects. In particular, the lightfastness of colors in wood, leather, plastic, certain textiles, etc., cannot be guaranteed.

6.4 Cornelia Hofstetter assumes no liability for the installation and assembly of the products. It is the customer’s responsibility to determine and apply the appropriate fastening method, taking into account the weight and nature of the product as well as the building’s construction. Cornelia Hofstetter disclaims all liability for damages caused by improper or defective installation or assembly.

6.5 Cornelia Hofstetter assumes no liability for products or product components manufactured by third parties.

6.6 The warranty period for defects is two (2) years from the date of delivery.

6.7 If a defect is reported during the warranty period, Cornelia Hofstetter may fulfill the warranty at its discretion by providing a partial or full replacement with an equivalent product (redhibition), issuing a credit note up to a maximum of the sales price at the time of the order, or granting a price reduction.

 

6.8 The customer’s claims for damages arising from consequential damages that do not occur to the purchased item itself (so-called consequential damages resulting from defects) are excluded. Cornelia Hofstetter excludes all liability for damages to the extent permitted by law.

6.9 If the customer resells products from Cornelia Hofstetter, the customer is responsible for complying with domestic and foreign export regulations. If the customer modifies the resold products, the customer is liable for any resulting damages and shall indemnify Cornelia Hofstetter against any liability, including consequential damages arising from defects, upon first request. The provisions of the applicable product liability law remain reserved.

6.10. Cornelia Hofstetter disclaims all liability for third-party websites, even if www.corneliahofstetter.ch contains links or downloads to such sites.


7. REPAIRS

7.1 Repairs for any damage that does not constitute a defect within the meaning of Section 6 will be carried out by Cornelia Hofstetter in accordance with a separate agreement. The customer has no right to such repairs.

 

8. DUTY TO PROVIDE INFORMATION

8.1 The customer is obligated to promptly inform Cornelia Hofstetter of any special technical requirements, as well as of any legal, regulatory, and other provisions at the destination, to the extent that they are relevant to the performance and use of the products. In the event of a breach of this duty to provide information, Cornelia Hofstetter shall be indemnified by the defaulting customer. Furthermore, the customer and Cornelia Hofstetter shall promptly inform each other of any events that could affect contractual performance or lead to inappropriate solutions.


9. INTELLECTUAL PROPERTY RIGHTS

9.1 The customer acquires no intellectual property rights whatsoever in the purchased items.

9.2 The customer acknowledges that all intellectual property rights, in particular the copyright to the products and related printed materials, materials, illustrations, texts, and the website, as well as their contents, belong entirely to Cornelia Hofstetter.

9.3 Without the prior written consent of Cornelia Hofstetter, the customer is prohibited from copying, downloading, or otherwise using copyrighted objects or parts thereof for their own purposes. The specific download links provided by Cornelia Hofstetter are exempt from this provision.

 

10. DATA PROTECTION

10.1 Cornelia Hofstetter undertakes to ensure security in accordance with the current state of the art in systems, programs, etc., that she owns or over which she has control, and to comply with applicable data protection regulations. Cornelia Hofstetter does not guarantee the security of the means of communication used.

10.2 Cornelia Hofstetter may delete stored customer data at any time without providing reasons or block any customer access credentials.

10.3 Cornelia Hofstetter may disclose data to third parties in Switzerland or abroad for the purpose of fulfilling the sales contract. By placing an order, the customer expressly consents to such a transfer, even if the destination country may not have equivalent data protection standards.

11. MISCELLANEOUS

11.1 Any deviations from these Terms and Conditions must be agreed upon in writing.

11.2 Should any provisions of these Terms and Conditions be invalid or contain a loophole, the remaining provisions shall remain legally effective. The invalid provisions and any loopholes shall be replaced or remedied by a valid provision in accordance with the presumed intent of the parties at the time the contract was concluded.


12. GOVERNING LAW AND JURISDICTION

12.1 Sales contracts between customers and Cornelia Hofstetter, as well as these Terms and Conditions, are governed exclusively by Swiss substantive law, excluding conflict-of-laws provisions and the Vienna Sales Convention.

12.2 In the event of disputes, the courts at Cornelia Hofstetter’s place of business in Kriens or the courts at the customer’s place of residence shall have jurisdiction.

12.3 However, the parties agree to seek direct contact first in the event of damage or a complaint and will endeavor to settle any disputes arising from the sales contract amicably.
